Creator Agreement

Effective date: July 13, 2026

1. Overview

This Creator Agreement (“Agreement”) governs creators who upload, distribute, or monetize audio content on Erodio, a premium audio entertainment platform designed for women, operated by EP25 LLC. This Agreement supplements the Erodio Terms and Conditions and the Community Guidelines, which apply to all users. “Launch Date” has the meaning given in the Terms and Conditions: January 1, 2027, or such later date as Erodio confirms in writing.

2. Ownership and License

Creators retain ownership of original content, but grant Erodio a perpetual, worldwide, royalty-free, sublicensable license to host, use, distribute, promote, modify, display, perform, and monetize the content in connection with operating, promoting, and improving the platform.

3. Creator Warranties

  • All participants are 18 or older.
  • All participation is consensual and lawfully recorded.
  • The creator has all rights, permissions, releases, and records needed.
  • All content is the creator’s original work, performed by the creator or by human collaborators who have provided written consent, and is not generated in whole or in substantial part by artificial intelligence, consistent with the Terms and Conditions.

4. Standard Compensation Terms

The following standard terms (the “Standard Terms”) apply to all creators unless modified by a program under Section 7 or a separate signed agreement:

  • Revenue share. Creators earn twenty percent (20%) of the net subscription revenue attributable to the creator, as determined under Erodio’s attribution methodology.
  • Premium content. Erodio charges a platform fee of fifteen to twenty percent (15–20%) on sales of premium (paywalled) content. A creator must have a catalog of at least ten (10) published pieces before any content may be designated premium.
  • Referral earnings. Creators earn fifty percent (50%) of each referred listener’s subscription payments, net of payment processing costs, for four (4) months from that listener’s initial paid subscription.
  • Advertising revenue. Erodio allocates twenty percent (20%) of net monthly advertising revenue to a Creator Ad Revenue Pool. “Net advertising revenue” means advertising revenue actually received by Erodio, less ad-serving costs, agency commissions, refunds, and make-goods. For each calendar month, the Pool is distributed in equal shares among all creators in good standing who published at least one original audio piece on the platform during that month. Content that is flagged, under review, or removed for violation of platform policies does not count toward eligibility. Pool earnings are paid with the regular monthly payouts described below.
  • Payout timing. Earnings accrue beginning on the Launch Date and are paid monthly, no later than thirty (30) days following the close of each calendar month, subject to a minimum payout threshold of fifty dollars ($50); balances below the threshold roll forward.

The Creator Ad Revenue Pool begins when platform advertising becomes generally available. The equal-share distribution described above is the launch model, adopted deliberately so that no creator is disadvantaged by joining later in the platform’s first months. As listening data matures, Erodio may transition the Pool distribution in phases — first weighting by minutes listened, and subsequently by the platform’s creator performance score — so that the model grows with the platform. Erodio shall provide at least thirty (30) days written notice before any change to the Pool distribution method or the Pool percentage. Founding Creators participate in the Pool on the same terms as all other creators.

Erodio may otherwise change payout rates, program eligibility, features, and monetization rules at any time, except as expressly limited by Section 7 with respect to Founding Creators.

5. Payment Holds and Reversals

Earnings may be delayed, withheld, offset, reversed, or denied due to fraud, disputes, chargebacks, policy violations, legal requirements, or processor actions.

6. Taxes

Creators are solely responsible for taxes, reporting, and governmental obligations arising from earnings on Erodio, and shall provide accurate tax documentation upon request.

7. Founding Creator Program

Erodio may offer optional exclusivity or premium creator programs on separate terms. This Section 7 sets forth the terms of the Erodio Founding Creator Program (the “Program”) for any creator admitted to the Program by written confirmation from Erodio (a “Founding Creator”). The Program is limited to the first fifty (50) creators so admitted. Upon admission of the fiftieth Founding Creator, the Program closes permanently, and no additional Founding Creators shall be designated.

7.1 Definitions

  • “Founding Period” means the twelve (12) month period beginning on the Launch Date.

7.3 Enhanced Revenue Share

During the Founding Period, the Founding Creator shall earn thirty percent (30%) of the net subscription revenue attributable to the Founding Creator, in lieu of the Standard Terms. Upon expiration of the Founding Period, the revenue share automatically reverts to the Standard Terms then in effect.

7.4 Platform Fee Waiver on Premium Content

During the Founding Period, Erodio waives its platform fee on sales of the Founding Creator’s premium (paywalled) content. The Founding Creator retains one hundred percent (100%) of such sales, less third-party payment processing costs actually incurred. Upon expiration of the waiver period, the platform fee automatically reverts to the Standard Terms then in effect. If premium (paywalled) content sales are not generally available on the Launch Date, the twelve (12) month waiver period commences on the date that feature becomes generally available, in accordance with Section 7.15.

7.5 Enhanced Referral Terms

For each listener who subscribes through the Founding Creator’s unique referral mechanism during the Founding Period, the Founding Creator shall earn fifty percent (50%) of that listener’s subscription payments, net of payment processing costs, for six (6) months from the listener’s initial paid subscription. Referral earnings are subject to reversal in the event of refund, chargeback, or fraudulent subscription activity. If the referral program is not generally available on the Launch Date, the enhanced referral terms apply for twelve (12) months from the date the referral program becomes generally available, in accordance with Section 7.15.

7.6 Founding Creator Badge

Erodio shall display the Founding Creator badge on the Founding Creator’s profile and content on a permanent basis, for so long as the account remains in good standing and subject to revocation under Section 7.11. The badge shall be issued only to the fifty (50) Founding Creators and shall never be issued, sold, or reissued to any other person. The badge survives the expiration of the Founding Period.

7.7 Priority Discovery Placement

For six (6) months following the Launch Date, Erodio shall provide the Founding Creator with priority placement within the platform’s discovery and featured-creator surfaces, allocated in a commercially reasonable and rotating manner among Founding Creators. Priority placement does not guarantee any particular level of listens, revenue, or audience growth.

7.8 Founding Creator Council

The Founding Creator shall hold a seat on the Founding Creator Council, an advisory body that meets with Erodio’s founder at least quarterly during the Founding Period. The Council is advisory only; it holds no governance, voting, equity, or management rights in EP25 LLC, and no compensation attaches to Council participation.

7.9 Pre-Launch Content Commitment

The Founding Creator shall publish a minimum of five (5) original audio pieces on the platform before the Launch Date. Founding Creators are encouraged to publish ten (10) or more pieces before the Launch Date; under Section 4, a catalog of ten (10) published pieces is required before any content may be designated premium (paywalled), and the platform fee waiver in Section 7.4 therefore delivers its full value from launch only for catalogs of ten (10) or more pieces. Content that is flagged, under review, or removed for violation of this Agreement, the Erodio Terms and Conditions, or the Community Guidelines shall not count toward this minimum. If the Founding Creator fails to satisfy this minimum by the Launch Date, Erodio may, upon written notice, revoke Founding Creator status in accordance with Section 7.11, or grant a cure period at its discretion.

7.10 Payment Terms

All amounts earned under this Section 7 accrue beginning on the Launch Date. Erodio shall pay accrued amounts monthly, no later than thirty (30) days following the close of each calendar month, subject to a minimum payout threshold of fifty dollars ($50); balances below the threshold roll forward. The first payout cycle follows the close of the first calendar month after the Launch Date. Payments remain subject to the fraud review, chargeback, offset, and compliance provisions of Section 5, provided that Erodio shall not exercise discretionary rights under this Agreement in a manner that defeats the compensation commitments of this Section 7.

7.11 Good Standing; Termination and Revocation

The enhanced terms of this Section 7 are conditioned on the Founding Creator’s continued good standing. Erodio may terminate a Founding Creator’s enhanced terms for cause upon material breach of this Agreement, violation of the Erodio Community Guidelines, fraud, engagement manipulation, chargeback abuse, or unlawful content, subject to written notice describing the cause.

Founding Creator status, including the badge and all enhanced terms under this Section 7, may also be revoked by Erodio if the Founding Creator: voluntarily departs the platform or closes the Founding Creator account; allows the creator subscription to lapse and fails to restore it within thirty (30) days of written notice of the lapse; is found to be abusing the platform or its systems, including fraud, engagement manipulation, chargeback abuse, unauthorized automation, or circumvention of platform protections; fails to satisfy the Pre-Launch Content Commitment in Section 7.9; or engages in conduct that is materially detrimental to the Erodio brand, as determined by Erodio in good faith.

Revocation or termination for cause shall be effected by written notice to the Founding Creator. Upon revocation or termination for cause, the badge shall be removed and all enhanced terms under this Section 7 cease prospectively; lawfully accrued and undisputed earnings through the revocation or termination date remain payable in accordance with Section 7.10. A revoked or terminated Founding Creator seat shall not be reissued to any other person.

7.12 Order of Precedence; No Unilateral Modification

In the event of any conflict between this Section 7 and any other provision of this Agreement, the Erodio Terms and Conditions, or any other Erodio policy, this Section 7 controls with respect to the subject matter of the Program. Notwithstanding Section 12, the enhanced terms of this Section 7 may be amended, as to a given Founding Creator, only by a written instrument signed by both parties or by an amendment to this Agreement that Erodio expressly identifies as applicable to the Program; continued use of the platform alone does not constitute acceptance of a modification to this Section 7.

7.13 Confidentiality

The specific economic terms of a Founding Creator’s participation in the Program are confidential. A Founding Creator may publicly disclose the existence of Founding Creator status and display the badge, but shall not disclose the economic terms of the Program except to professional advisors or as required by law.

7.14 Governing Law and Dispute Resolution

Disputes arising under this Section 7 are governed by the same law and dispute resolution procedures that govern the Erodio Terms and Conditions (Colorado law, with binding arbitration in Denver County, Colorado, and class actions waived to the fullest extent permitted by law). See Terms and Conditions, Section 18.

7.15 Feature Availability

Certain platform features to which enhanced terms under this Section 7 apply may not be generally available on the Launch Date. If any such feature — including premium (paywalled) content sales (Section 7.4) and the referral program (Section 7.5) — is not generally available on the Launch Date, the benefit period for the corresponding enhanced term shall commence on the date the feature becomes generally available to creators, and shall run for its full stated duration from that date, so that no Founding Creator benefit is shortened by the later availability of a feature. As of the Effective Date, premium content sales and referral earnings are in development and not yet live; Erodio anticipates that referral earnings will be available before the Launch Date. Erodio shall confirm the general availability date of each such feature in writing, which may include a platform-wide announcement.

8. Content Compliance

Creators must comply with all laws, platform rules, payment rules, and documentation requirements, including age verification and consent records, and must maintain records required under 18 U.S.C. § 2257 to the extent applicable.

9. Termination

Erodio may suspend, restrict, demonetize, or terminate creator accounts at any time. Content rights previously granted to Erodio survive termination in accordance with applicable policies and agreements. Termination of a Founding Creator’s account in accordance with this Agreement also terminates that creator’s participation in the Founding Creator Program under Section 7.

10. Indemnification

Creators agree to indemnify and hold harmless Erodio and EP25 LLC from claims, losses, damages, liabilities, and expenses arising from creator content, conduct, rights violations, documentation failures, disputes, or legal noncompliance.

11. Limitation of Liability

Erodio is not liable for indirect, special, incidental, consequential, or lost-profit damages relating to creator participation, monetization, or platform availability.

12. Modifications

Erodio may update this Agreement at any time. Continued creator use after changes may constitute acceptance. Modifications to Section 7 are additionally subject to Section 7.12.
